Description:
This introductory comparative company law unit aims to develop student understanding of company law issues in selected jurisdictions outside of Australia. The unit uses knowledge acquired in Company Law II to facilitate and structure comparisons drawn from selected legal systems overseas. Key areas for comparison and contrast by students should include mechanisms or methods of incorporation; maintenance and operation of the corporate constitution; corporate processes, governance and regulation; the rights and duties of shareholders and directors; and the liability of shareholders, directors and corporations with respect to third parties and outsiders.
